Remuneration

Remuneration to the Chairman and members of the Board is paid according to the AGM's decision. There is no special fee for committee work.

The following guidelines were approves at the 2018 Annual General Meeting: Remuneration to the Cheif Executive Officer and other senior executives consists of basic salary, variable remuneration and pension. Other senior executives are the members of Executive management and business area managers.

Variable remuneration is based on the achievement of targets and can amount to 0 to 100 percent of the basic salary. To promote a long-term perspective, the Board may decide on compensation, in addition to the annual variable remuneration, related to the long-term development of the business area's value over a period of three years, capped at one-third of the basic salary per year over the three-year period.

The Cheif Executive Officer is entitled to retire at the age of 62, after which the pension is paid out at 60 percent of the basic salary for three years with related pension premiums, which continue to be paid outas if the employment continues with full salary. The retirement age for all other senior executives is 65 years. The Board of Directors may waive the guidlines approved at the Annual General Meeting should there be particular reason for doing so in any individual case.

The Board also has the right to approve additional remuneration to the company management in the form of share-related incentive schemes (e.g a call option programme) provided that they are provided that they promote long-term commitment to the organisation and they are provided on market-related terms.
